Terms for using OMN

Ontario Machining Network, also called OMN, is a business-to-business supplier directory and RFQ network for CNC machining, fabrication, sheet metal, and related industrial services.

In these Terms, OMN, we, us, and our refer to Ontario Machining Network. You and your refer to the person or organization using the service.

• You may use OMN only if you can form a legally binding agreement and are using the service for business or professional purposes.
• If you use OMN on behalf of a company, supplier, buyer, or other organization, you represent that you have authority to bind that organization to these Terms.
• You are responsible for the accuracy of the information you submit and for keeping account credentials secure.
• You must promptly tell us if you believe your account, listing, RFQ, or uploaded files have been accessed or used without authorization.

• OMN may offer different account types, including manufacturer, supplier, and administrator roles. Features, permissions, and dashboard access may vary by role.
• Supplier listing ownership may require email-domain matching, manual review, or other verification. OMN may approve, reject, revoke, or re-review listing ownership where needed to protect the directory or resolve a dispute.
• You may not impersonate another person or company, claim a listing you are not authorized to manage, share an account in a way that avoids access controls, or use another user's account without permission.

• OMN includes supplier profiles built from public business information, supplier-submitted information, listing-owner updates, and OMN curation.
• Supplier listing information may include business names, locations, websites, capabilities, materials, certifications, descriptions, photos, and business contact details. Public listing content may be visible to anyone who can access the site.
• You are responsible for ensuring listing information, certifications, claims, descriptions, photos, and other submitted content are accurate, current, lawful, and not misleading.
• OMN may edit, reject, de-rank, remove, or correct listing content where we believe it is inaccurate, outdated, unlawful, misleading, duplicative, harmful, or inconsistent with the purpose of the directory.
• A featured, verified, founding, paid, or similar label does not mean OMN guarantees a supplier's capabilities, capacity, pricing, compliance status, or suitability for a project.

• Buyers may submit RFQs and related project information for OMN to review, triage, and route to selected suppliers. OMN may choose which suppliers receive an RFQ and may decline to route an RFQ.
• Suppliers may respond to dispatched RFQs with quotes, lead times, messages, or declines. Supplier responses are provided by the supplier, not by OMN.
• OMN is not a party to any purchase order, manufacturing agreement, confidentiality agreement, statement of work, quote acceptance, payment arrangement, delivery commitment, or dispute between a buyer and supplier unless OMN separately signs a written agreement saying otherwise.
• Buyers and suppliers are responsible for their own due diligence, technical review, quality requirements, pricing, taxes, insurance, compliance obligations, confidentiality agreements, export controls, and final contracting decisions.
• RFQ routing, quote volume, response time, listing placement, search ranking, profile views, or supplier leads are not guaranteed.

• You may upload RFQ attachments such as drawings, CAD files, BOMs, specifications, or related project files only if you have the right to share them through OMN.
• Do not submit confidential, export-controlled, controlled goods, regulated, personal, third-party, or highly sensitive information unless you have the required rights, permissions, controls, and business need to do so.
• OMN may make RFQ files available to OMN administrators and to suppliers selected to receive the RFQ. You should use a separate written NDA or manufacturing agreement where confidentiality, security, intellectual property, or compliance obligations matter to the project.
• Supplier gallery photos are intended for public listing pages. Do not upload gallery images that reveal confidential customer work, restricted information, or content you do not have permission to publish.

• OMN may offer paid supplier memberships, promoted placement, verification features, listing analytics, or similar paid features. Available plans, prices, features, and eligibility rules may change over time.
• Payments are processed by Stripe or another payment provider. You must provide accurate billing information and comply with the payment provider's terms.
• Unless a checkout page, written agreement, or applicable law says otherwise, subscription fees are billed in advance and are non-refundable. If you cancel a recurring membership, access to paid features generally continues until the end of the current billing period.
• OMN may grant, modify, or revoke complimentary, founding, trial, or promotional membership benefits at its discretion unless a separate written agreement says otherwise.
• We may suspend or downgrade paid features if payment fails, a subscription is cancelled, a charge is disputed, or use of the service violates these Terms.

• You agree that OMN may send transactional and service communications related to authentication, account security, RFQs, quotes, listing claims, billing, notifications, support, and service changes.
• Where OMN sends marketing or promotional messages, we will provide any unsubscribe mechanism required by applicable law. Even if you opt out of marketing, we may still send transactional or service messages.
• You may not use OMN to send spam, unlawful commercial electronic messages, deceptive messages, or messages that violate anti-spam, privacy, marketing, or procurement rules.

• Do not use OMN for unlawful, fraudulent, deceptive, harmful, infringing, or abusive purposes.
• Do not submit false, misleading, incomplete, or deceptive information about a company, listing, RFQ, certification, quote, product, service, capacity, location, identity, or authorization.
• Do not upload malware, attempt to disrupt the service, bypass authentication, probe or test systems without authorization, scrape the service in a way that harms OMN, or reverse engineer non-public parts of the service.
• Do not use OMN to infringe intellectual property rights, violate confidentiality obligations, expose personal information unnecessarily, or transmit content you do not have the right to submit.
• Do not use OMN to source, quote, manufacture, or distribute unlawful goods or services, or to avoid laws relating to trade controls, sanctions, controlled goods, export controls, procurement, labour, safety, or regulated materials.

• You keep ownership of content you submit, such as RFQ details, attachments, quote responses, listing updates, photos, and support messages, subject to any rights owned by others.
• You grant OMN a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display, transmit, adapt, and use submitted content as needed to operate, secure, improve, promote, and provide OMN and related services.
• For public listing content, that license includes the right to display the content publicly on OMN and in related directory, search, promotional, or supplier-discovery contexts.
• If you send feedback, suggestions, or ideas, OMN may use them without restriction or compensation to you.

• OMN relies on third-party providers for hosting, authentication, database, payment processing, file storage, email delivery, geocoding, security, analytics, and other infrastructure.
• Third-party links, websites, payment pages, storage URLs, map data, geocoding results, or supplier websites are not controlled by OMN. OMN is not responsible for third-party content, policies, availability, or actions.
• Your use of a third-party service may be subject to that provider's own terms and policies.

• OMN handles personal information according to our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.
• By using OMN, you acknowledge that RFQ, quote, listing, account, analytics, billing, and communication information may be processed as described in the Privacy Policy.

• OMN may change, suspend, limit, remove, or discontinue any part of the service, including listings, RFQ tools, paid features, dashboards, access rules, or integrations.
• We try to keep OMN reliable, but the service may be unavailable, delayed, interrupted, inaccurate, or incomplete from time to time.
• OMN may suspend or terminate access, remove content, or take other action if we believe a user has violated these Terms, created risk for OMN or others, or used the service in a way that undermines the directory or RFQ network.

• OMN is provided on an as-is and as-available basis. To the maximum extent permitted by law, OMN disclaims all warranties and conditions, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose, title, non-infringement, availability, and security.
• OMN does not guarantee the accuracy of directory data, supplier qualifications, certifications, pricing, quote responses, availability, capacity, lead times, manufacturing quality, compliance status, or project outcomes.
• You are responsible for independently verifying suppliers, buyers, quotes, files, specifications, certifications, contracts, regulatory obligations, and business decisions before relying on them.

• To the maximum extent permitted by law, OMN and its owners, operators, employees, contractors, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost data, procurement delays, manufacturing defects, substitute goods, or reputational harm.
• To the maximum extent permitted by law, OMN's total liability for any claim related to the service will be limited to the greater of 100 Canadian dollars or the amount you paid OMN for the service giving rise to the claim in the three months before the event giving rise to liability.
• Some laws do not allow certain exclusions or limitations. In those cases, the limits above apply only to the extent permitted by law.

• You agree to defend, indemnify, and hold harmless OMN and its owners, operators, employees, contractors, suppliers, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from your content, RFQs, quotes, listings, files, purchases, sales, disputes, misuse of the service, violation of these Terms, or violation of law or third-party rights.

• These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules.
• Unless applicable law requires otherwise, the courts located in Ontario will have exclusive jurisdiction over disputes related to these Terms or OMN.

• We may update these Terms from time to time. The updated version will be posted on this page with a new last-updated date.
• If a change is material, we may provide additional notice where appropriate. Your continued use of OMN after updated Terms take effect means you accept the updated Terms.
